State filings are mandatory documents businesses must submit to government agencies to register operations, report activities, and maintain good legal standing. A company is generally considered to be doing business in a state when:
- It has a physical presence in the state
- It frequently meets clients in person within the state
- A significant portion of its revenue is generated there
- It has employees working in the state
At the federal level, foreign-owned corporations must file Form 1120 or Form 1120F to report income, deductions, and any tax due. Partnerships, on the other hand, are required to file Form 1065 and issue Schedule K-1s to partners. These requirements apply even when the entity has no taxable income. Foreign partners may also trigger additional reporting obligations, including Forms 8804 and 8805.

Beyond federal obligations, state tax filings can present unexpected challenges. Each state has its own rules for corporate income tax, franchise tax, or partnership filings. Some states—such as California, Delaware, and New York—are particularly strict with deadlines, even if the business had limited or no activity there.
Foreign-owned entities may also be subject to additional filing requirements, especially Form 5472, which accompanies Form 1120. This form is often overlooked, but failure to file can result in significant penalties.
Q4 is the final opportunity to prepare for year-end tax obligations. Businesses should:
- Review estimated tax payments to avoid underpayment penalties
- Maximize deductions and available credits
- Ensure transfer pricing documentation is compliant for related-party transactions
Extensions are available, but they must be filed before deadlines to avoid late penalties.
For foreign-owned businesses, year-end is not just about closing the books. It is also about ensuring compliance with both federal and state requirements. Addressing these obligations in Q4 helps reduce risks, optimize tax positions, and start the new year on solid ground.
